1. Introduction

Welcome to Nitro. These Terms and Conditions ("Terms") govern your access to and use of the Nitro mobile application, website, and all related services (collectively, the "Service") provided by Aleph Edutainment Pvt Ltd, a company incorporated under the laws of India (hereinafter referred to as the "Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and the Company.

The Service includes Nitro and any other platforms, features, or sub-brands operated by Aleph Edutainment Pvt Ltd. These Terms apply to all users of the Service, including contributors of content, information, and other materials or services.

2. Acceptance of Terms

By using the Service, you confirm that:

• You are at least 18 years of age, or if you are between the ages of 13 and 18, you have the consent of a parent or legal guardian to use the Service;
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy;
• You will comply with all applicable laws and regulations while using the Service;
• You are legally capable of entering into a binding agreement.

If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

3. Your Account

In order to access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information to keep it accurate, current, and complete;
• Maintain the security and confidentiality of your login credentials and not share them with any third party;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately of any unauthorized use of your account or any other breach of security.

You must not create an account using false or misleading information, or on behalf of someone other than yourself without permission. The Company reserves the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms.

4. Content on the Service

4.1 Definition of Content
"Content" includes text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, and other materials you may view on, access through, or contribute to the Service.

4.2 Content Access and Use
Content is provided to you AS IS. You may access Content for your information and personal use solely as intended through the provided functionality of the Service. You shall not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes without the prior written consent of Aleph Edutainment Pvt Ltd or the respective licensors of the Content.

4.3 Third-Party Content
Some Content on the Service is provided by content partners. Aleph Edutainment Pvt Ltd merely acts as a platform to provide access to such content as authorized by those third parties and does not claim ownership rights in, nor undertake liability for, such Content.

4.4 Commercial Use Restrictions
You agree not to use the Service or any Content for commercial purposes without Aleph Edutainment Pvt Ltd's prior written approval, including the sale of advertising, sponsorships, or promotions on any page containing Content delivered via the Service.

5. Your Content and Conduct

5.1 User-Generated Content
The Service may allow you to submit, upload, or publish content including text, photographs, videos, and comments ("User Content"). You retain ownership of your User Content; however, by submitting User Content, you grant Aleph Edutainment Pvt Ltd a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and the Company's business.

5.2 Content Representations and Warranties
You represent and warrant that:

• You own or have the necessary rights, licenses, consents, and permissions to submit the User Content;
• Your User Content does not infringe any third party's intellectual property rights, rights of privacy, or rights of publicity;
• Your User Content does not contain any defamatory, obscene, pornographic, abusive, or otherwise objectionable material;
• Your User Content does not contain viruses, malware, or any other harmful computer code.

5.3 Prohibited Conduct
You agree not to:

• Use the Service for any illegal or unauthorized purpose;
• Interfere with, disrupt, or create an undue burden on the Service or connected networks;
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems;
• Use any automated system, including robots, spiders, or scrapers, to access the Service;
• Impersonate any person or entity or falsely state your affiliation;
• Collect or store personal data about other users without their consent;
• Use the Service to transmit any unsolicited advertising, promotional materials, or spam;
• Circumvent, disable, or otherwise interfere with security-related features of the Service.

6. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Aleph Edutainment Pvt Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign countries. The Nitro name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aleph Edutainment Pvt Ltd or its affiliates. You must not use such marks without the prior written permission of the Company.

7. Subscriptions and Payments

Certain features of the Service may be available on a subscription basis or require payment. If you choose to subscribe or purchase any paid features:

• You agree to pay all fees and charges associated with your account on a timely basis with a valid payment method;
• Subscription fees are billed in advance on a recurring basis (monthly, quarterly, or annually, depending on the plan selected);
• You authorize Aleph Edutainment Pvt Ltd to charge your chosen payment method for all fees incurred;
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law;
• The Company reserves the right to modify subscription fees upon reasonable notice. Continued use of the Service after a fee change constitutes your acceptance of the new fees.

Free trials, if offered, may be subject to additional terms. At the end of the free trial period, you will be automatically charged the applicable subscription fee unless you cancel before the trial ends.

8. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources not owned or controlled by Aleph Edutainment Pvt Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and privacy policies of any third-party websites you visit.

9. Investment and Financial Disclaimer

Aleph Edutainment Pvt Ltd does not provide any investment advisory services and is not registered as an investment advisor under any applicable laws, including SEBI regulations. Any financial or investment-related content on the Service is intended solely for general informational and educational purposes and should not be construed as professional financial or investment advice. Users are solely responsible for their own financial decisions.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. Aleph Edutainment Pvt Ltd does not warrant that the Service will function uninterrupted, secure, or error-free, or that results of using the Service will meet your requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALEPH EDUTAINMENT PVT LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE, OR UNAUTHORIZED ACCESS TO YOUR TRANSMISSIONS OR CONTENT.

In no event shall the Company's total aggregate liability exceed the amount you have paid to Aleph Edutainment Pvt Ltd in the twelve (12) months preceding the event giving rise to the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Aleph Edutainment Pvt Ltd, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from: your use of and access to the Service; your violation of any provision of these Terms; your violation of any third-party right including intellectual property or privacy rights; or any claim that your User Content caused damage to a third party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may discontinue using the Service or contact us to request account deletion. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Account Suspension and Content Removal

Aleph Edutainment Pvt Ltd reserves the right to remove or disable access to any Content that violates these Terms; suspend or terminate accounts of repeat intellectual property infringers; take any action with respect to User Content that we deem necessary if we believe it violates these Terms, threatens safety, or could create liability for the Company; and disclose your identity to any third party who claims that material posted by you violates their rights.

15. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information in accordance with our Privacy Policy. The Privacy Policy is incorporated into and forms part of these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through amicable negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties, and shall take place in Bangalore, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding.

Subject to the arbitration clause above, the competent courts in Bangalore, India shall have exclusive jurisdiction.

17. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised Terms.

18. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Aleph Edutainment Pvt Ltd on the Service, constitute the entire agreement between you and the Company regarding your use of the Service, and supersede all prior written or oral agreements.
